Acceptance of Terms

By accessing or using Meadowlark — a service of JoySpring Ventures LLC (“we,” “us,” or “our”) — you agree to be bound by these Terms of Service. If you do not agree, do not use the service. Continued use of Meadowlark after we post changes to these Terms constitutes your acceptance of the updated Terms.

Description of Services

Meadowlark is a weekly SMS-based group sharing service. A group organizer creates a group and shares a join link with group members. Members join by submitting their name and phone number with explicit consent. Each week, members receive a text prompt and reply with a photo or message. We compile all replies into a digest and deliver a link to the group via SMS — automatically, on a schedule the organizer sets.

Eligibility and Accounts

• You must be at least 18 years old to create an organizer account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate information when signing up and to keep it up to date.

SMS Consent

By submitting a group join form or completing phone verification as an organizer, you consent to receive automated recurring SMS messages from Meadowlark, including weekly prompts and digest links.

• Message frequency: Recurring messages per active group, which may include prompts, reminders, and digest links. Frequency varies by group activity.
• Message and data rates may apply.
• Reply STOP at any time to opt out. Reply START to re-enable messages.

Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable law
• Send group invitations to people who have not expressed interest in joining — all members must consent before receiving SMS from your group
• Harass, threaten, or abuse other users
• Attempt to circumvent the STOP keyword or re-add opted-out members without their explicit re-consent
• Interfere with or attempt to disrupt the service or its infrastructure
• Transmit malware, spam, or other harmful content
• Resell or commercially exploit the service without our written permission

User Content

You retain ownership of the photos, messages, and names you submit through Meadowlark. By submitting content, you grant JoySpring Ventures LLC a limited, non-exclusive license to store, process, and display that content as part of the service — for example, to compile it into digests and deliver them to your group. We do not use your content for advertising or sell it to third parties.

Intellectual Property

The Meadowlark platform, software, design, and branding are owned by JoySpring Ventures LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the service without our express written consent.

Payment Terms

The Plus tier is a paid subscription processed through Stripe. Subscriptions renew automatically at the start of each billing period. If we change pricing, we will notify you at least one billing cycle in advance, and the new price will take effect at your next renewal.

Refunds and Cancellation

You may cancel your Plus subscription at any time. Access continues through the end of your current billing period. We offer refunds within 30 days of purchase if you have not substantially used the service. To request a refund, contact support@joyspringventures.com.

Termination

We reserve the right to suspend or terminate your account if you violate these Terms, abuse the SMS channel, or engage in conduct that harms other users or the service. We will make reasonable efforts to notify you before taking action, except in cases of serious or repeated violations.

Disclaimer of Warranties

Meadowlark is provided “as is” without warranties of any kind, express or implied. We do not guarantee that the service will be uninterrupted, error-free, or secure. SMS delivery depends on Twilio and mobile carriers, which are outside our direct control.

Limitation of Liability

To the fullest extent permitted by law, JoySpring Ventures LLC's total liability to you for any claim arising from or related to the service is limited to the amounts you paid us in the 12 months preceding the claim. We are not liable for any indirect, incidental, consequential, special, or punitive damages.

Indemnification

You agree to indemnify and hold harmless JoySpring Ventures LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or your violation of any third party's rights — including adding group members without their consent.

Governing Law

These Terms are governed by the laws of the State of Colorado. Any disputes arising from or related to these Terms or the service shall be resolved in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via SMS or email. Continued use of Meadowlark after changes are posted constitutes your acceptance of the updated Terms.
